Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the CMA Client Portal at portal.colemanma.com (the “Service”), provided by Coleman Management Advisors (“CMA”). By accessing or using the Service, you agree to these Terms.
The Service
The Service is a private workspace for CMA and its clients to share documents, communicate, manage engagements and deliverables, review proposals, handle invoices, schedule meetings, and track performance.
Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate information and be authorized to act on behalf of your organization.
Acceptable use
- Do not misuse the Service, attempt to access data belonging to other organizations, or disrupt its operation.
- Do not upload unlawful, infringing, or malicious content.
- Do not attempt to reverse engineer or gain unauthorized access to any part of the Service.
Client content
You retain ownership of the content you upload. You grant CMA a limited license to host and process that content solely to provide the Service. You are responsible for ensuring you have the rights to the content you submit.
Invoices and payment
Invoices for CMA services are issued and collected through QuickBooks Online. Payment terms are as stated on each invoice or in your engagement agreement. The Service may display invoice status for your convenience.
Third-party services
The Service integrates with third-party providers (including Intuit QuickBooks, Supabase, Vercel, and Resend). Your use of those integrations may be subject to the third party’s own terms. We are not responsible for third-party services.
Disclaimers
The Service is provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose. Information presented in dashboards and reports is for convenience and may not reflect official records.
Limitation of liability
To the maximum extent permitted by law, CMA will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
Termination
We may suspend or terminate access to the Service at our discretion, including for violation of these Terms. You may stop using the Service at any time.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
